El Financial Reporting Council (FRC) es la entidad independiente que se encarga en Gran Bretaña de promover las mejores prácticas en materia de gobierno corporativo y de información societaria. Esta última comprende los informes y cuentas anuales de sociedades cotizadas, lo que se traduce en la publicación del correspondiente informe anual, que elabora su Financial Reporting Review Panel.
El pasado día 28 de septiembre se publicó la última edición de ese informe, que toma en consideración las cuentas cerradas a 31 de marzo de 2011. La valoración general parece ser satisfactoria, según se reseñaba en la correspondiente nota de prensa:
“The Panel found the general quality of corporate reporting to be good. It continues to have concerns about the quality of reports and accounts of some smaller listed and AIM quoted companies where there is still room for improvement.
Narrative reporting was a key area of interest for the Panel during the year. Although some poor practice is still seen, the Panel was particularly pleased to note widespread improvement in the description of principal risks and uncertainties in the business review included within the directors’ report. Boards are also now more likely to describe the actions they are taking to mitigate the effects of risks and uncertainties which the Panel believes is required in order to satisfy the objectives of the review”.
El Informe Anual es un documento de lectura recomendable, sobre todo en cuanto a sus recomendaciones para una adecuada presentación y explicación de la información financiera y en materia de buen gobierno.
